Job Overview:
We are seeking a seasoned Certified Public Accountant (CPA) with extensive experience in corporate transactions, particularly involving S-Corporations and nonprofit organizations (501c3). The project focuses on selling our S-Corp to a nonprofit, navigating the tax and legal complexities of such a transaction.
You will provide strategic guidance on key decisions, including the potential revocation of S-Corp status, conversion to a nonprofit, and exploring employee ownership as an alternative. Your expertise in tax law, corporate structures, nonprofit regulations, and employee ownership models will be crucial for the success of this transition.
Responsibilities:
Analyze Transaction Options:
Evaluate the implications of revoking the S-Corp status or converting to a nonprofit (501c3).
Explore the tax and legal impacts of each option to identify the most strategic course of action.
Provide Strategic Guidance:
Advise on the best approach for selling the S-Corp to the nonprofit.
Guide the nonprofit buyer (an employee) through options such as opening an LLC or pursuing employee ownership (ESOP).
Facilitate Smooth Transaction:
Ensure compliance with all relevant tax laws and regulations.
Address potential risks and mitigate tax liabilities for both parties.
Advise on Employee Ownership:
Assess the feasibility of transferring ownership to the employee via an employee stock ownership plan (ESOP) or other employee ownership models.
Qualifications:
Certified CPA based in or certified in the United States.
Extensive experience with S-Corp transactions, 501c3 nonprofits, and employee ownership structures.
Strong knowledge of US tax law, particularly regarding corporate sales and nonprofit conversions.
Proven track record of guiding businesses through similar transactions.
Ability to provide clear, actionable advice to both seller and buyer in a corporate sale.
