Position Overview:
We are seeking a skilled securities attorney to assist in addressing the legal and risk-related aspects of a new quasi debt/equity vehicle for funding inventory and profit sharing. This role will involve structuring the investment model, addressing securities and SEC issues, and preparing for future fundraising and investor engagement.

Key Responsibilities:

    Legal Structure Analysis:
        Analyze and provide legal advice on structuring a quasi debt/equity vehicle where inventory funding is followed by profit sharing.
        Determine the most effective legal structure for the initial sole investment phase and subsequent growth.

    Regulatory Compliance:
        Advise on compliance with SEC regulations and securities laws relevant to your investment vehicle.
        Assess and address potential regulatory issues related to the quasi debt/equity structure.

    Investment Structuring:
        Assist in designing the investment framework, including terms, conditions, and legal documentation.
        Ensure the structure aligns with both investor interests and regulatory requirements.

    Fundraising and Investor Relations:
        Provide guidance on structuring and managing a fund for future investor contributions.
        Advise on legal aspects of actively seeking and managing investors, including disclosure requirements and investor protections.

    Risk Management:
        Identify potential legal risks and develop strategies to mitigate them.
        Ensure that the investment model includes necessary safeguards and legal protections.

    Documentation and Agreements:
        Draft and review all necessary legal documents, including investment agreements, profit-sharing arrangements, and fund formation documents.
        Ensure clarity and legal robustness in all documentation.

    Ongoing Legal Support:
        Provide ongoing legal support as the investment vehicle evolves and as new investors come on board.
        Stay updated on changes in securities laws and regulations that may impact the investment model.

Qualifications:

    Experience: Extensive experience as a securities attorney with a focus on investment vehicles, equity, and debt structures. Experience with quasi-equity or hybrid financial instruments is a plus.
    Regulatory Knowledge: Deep understanding of SEC regulations and securities laws.
    Legal Expertise: Proven track record in structuring complex investment deals, drafting legal agreements, and ensuring regulatory compliance.
    Analytical Skills: Strong analytical skills with the ability to assess and address complex legal and financial issues.
    Communication: Excellent communication skills to effectively convey legal concepts and strategies to non-legal stakeholders.
    Attention to Detail: High attention to detail and accuracy in legal documentation and compliance.
